These Terms of Service ("Terms") govern your access to and use of ChatZi ("we," "us," or "our") websites, applications, and related services (collectively, the "Service"). By creating an account, using the Service, or clicking to accept these Terms where that option is made available, you agree to be bound by these Terms.
1. Eligibility and accounts
You must be legally able to enter a binding contract in your jurisdiction to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate registration information and to keep it up to date.
2. The Service
ChatZi provides tools to build, configure, and deploy chatbots for your websites and channels. Features, limits, and availability may change over time. We may suspend or modify the Service for maintenance, security, or business reasons, and will aim to minimize disruption where reasonable.
3. Your content and data
You retain rights to content you submit to the Service ("Customer Content"), such as knowledge bases, prompts, branding, and messages processed on your behalf. You grant us a limited license to host, process, transmit, and display Customer Content solely to operate and improve the Service for you. You represent that you have the rights needed to submit Customer Content and that its use does not violate law or third-party rights.
4. Third-party services and AI
The Service may integrate with third-party providers (for example, model or hosting providers). Your use of those integrations may be subject to separate terms from those providers. Outputs generated by AI features are probabilistic and may be inaccurate or incomplete; you are responsible for how you use outputs in your business, including compliance with applicable laws and industry rules.
5. Acceptable use
You will not misuse the Service, including by attempting to gain unauthorized access, interfering with other users, distributing malware, scraping the Service in violation of our technical policies, or using the Service to develop illegal, harmful, or infringing products or content. We may investigate and suspend or terminate accounts that violate these Terms or create risk for us or others.
6. Fees and trials
If you purchase a paid plan or add-on, fees and billing terms will be presented at checkout or in an order form. Unless stated otherwise, fees are non-refundable except where required by law. Free trials or promotional access may be limited in duration or scope and may end without notice when the promotional period ends.
7. Intellectual property
As between you and ChatZi, we own the Service, our software, branding, and documentation, excluding your Customer Content. You may not copy, modify, or reverse engineer the Service except as permitted by law or with our written consent.
8. Disclaimer of warranties
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
9. Limitation of liability
To the fullest extent permitted by law, ChatZi and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill. Our aggregate liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim or one hundred U.S. dollars (USD $100), except where liability cannot be limited by law.
10. Indemnity
You will defend and indemnify ChatZi and its affiliates, officers, and employees against third-party claims arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of law or third-party rights, subject to our prompt notice and reasonable cooperation.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to do so by law, or if we discontinue the Service. Provisions that by their nature should survive will survive termination, including Sections 3, 7–11, and 12.
12. Changes and contact
We may update these Terms from time to time. We will post the updated Terms and update the "Last updated" date. If changes are material, we will provide reasonable notice where required by law. 13. General
These Terms constitute the entire agreement between you and ChatZi regarding the Service and supersede any prior agreements on the same subject. If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
